HIVE Blockchain Announces Landmark Deal to Buy New High Performing ASIC Chips From Intel and a 100 MW Renewable Energy deal in Texas

This news release constitutes a "designated news release" for the purposes of the Company's prospectus supplement dated February 2, 2021 to its amended and restated short form base shelf prospectus dated January 4, 2022.
 
Vancouver, Canada – HIVE Blockchain Technologies Ltd. (TSX.V:HIVE) (Nasdaq:HIVE) (FSE:HBF) (the “Company” or “HIVE”) is pleased to make two major announcements today.

We are announcing a supply agreement with Intel Corporation (Nasdaq:INTC) (“Intel”) to purchase new high performing ASIC chips that will be incorporated into state-of-the-art mining equipment that will be custom built for HIVE.

We also are announcing that HIVE has entered into a letter of intent with Compute North LLC (“Compute North”) to host 100 megawatt (“MW”) of mining capacity in one of their new Texas renewable energy data centre facilities.  This facility would be our first mining operation in the United States.

Intel Supply Agreement
 

Frank Holmes, the Executive Chairman said he is thrilled to see the HIVE executive team work together to strategically position the Company to expand into the US with two significant deals.  First, HIVE has entered into a Supply Agreement with Intel which is one of the world’s largest semiconductor manufacturers, for their upcoming blockchain accelerator.

The Company has also entered into a manufacturing agreement with an ODM (original design manufacturer) that has expertise in electronics manufacturing.  The ODM will integrate Intel’s blockchain accelerators into an air-cooled Bitcoin mining system.  HIVE’s engineering team will draw on its expertise in hardware and software implementation and will work closely with Intel and the ODM partner on the systems integration.  These miners are expected to be delivered over a period of one year starting in the second half of calendar 2022, the effect of which, if they are all installed, would be an expected increase of up to 95% in our aggregate Bitcoin mining hashrate from 1.9 Exahash per second.

100 MW of Renewable Energy in Texas

HIVE is also pleased to announce it has entered into a non-binding Letter of Intent (“LOI”) with Compute North.  Compute North, the industry leader in sustainable, large-scale computing infrastructure is rapidly expanding its footprint with the development of numerous new facilities in the United States.  Led by a management team with deep experience in technology, finance and energy, Kyle Wenzel, CCO of Compute North commented, “Our team is proud to be working to accelerate the energy transition and evolve the data centre market to create an efficient platform for computing needs.”  With a proven track record of being one of the largest crypto-mining infrastructure developers in North America, HIVE is very pleased to take this formative step forward with Compute North.

Frank Holmes stated “Compute North has done an exemplary job of putting the US on the global stage as a reliable and scalable energy market for crypto-miners.  Furthermore, their team shares the same commitment to using renewable energy that HIVE has adhered to since its listing as the world’s first publicly traded crypto-miner.”

Accordingly, the Company is planning for a 100 MW deployment at one of Compute North’s renewable energy campuses in Texas.  Further details will be announced. Completion of the transactions contemplated by the LOI are subject to receipt of all regulatory approvals including the approval of the TSX Venture Exchange.

The Letter of Intent constitutes a "related party transaction", as such term is defined in Multilateral Instrument 61-101 - Protection of Minority Security Holders in Special Transactions ("MI 61-101") as Dave Perrill is a director and officer of ComputeNorth and a director of HIVE.  HIVE is relying on exemptions from the formal valuation and minority shareholder approval requirements provided under MI 61-101 on the basis that the Letter of Intent does not exceed 25% of the fair market value of the Company’s market capitalization.

HIVE Blockchain Provides Update on February 2022 Production and At-The-Market Offering and Conclusion of Canadian At-The-Market Offering
This news release constitutes a "designated news release" for the purposes of the Company's prospectus supplement dated February 2, 2021 to its amended and restated short form base shelf prospectus dated January 4, 2022.
Vancouver, Canada – HIVE Blockchain Technologies Ltd. (TSX.V:HIVE) (Nasdaq:HIVE) (FSE:HBF) (the “Company” or “HIVE”) is pleased to announce the production figures from the Company’s global Bitcoin and Ethereum mining operations for the month of February 2022, with a BTC HODL balance of 2,374 Bitcoin as of February 28, 2022.  The Company is also providing an update on its at-the-market offering, and conclusion of the Canadian at-the-market agreement.

To clarify the Company’s recent press release of March 7, 2022, our planned 100 megawatt Texas facilities with Compute North could operate up to 4.0 Exahash per second of new generation ASIC miners.
 

February 2022 Production Figures

HIVE is pleased to announce its February 2022 production figures and mining capacity:

  • 244.4 BTC Produced
  • 1.9 Exahash of Bitcoin mining capacity 
  • 1,814 ETH Produced
  • Increased Ethereum mining capacity from 4.56 to 4.88 Terahash during February
  • HODL position grows to 2,374 BTC
Frank Holmes, Executive Chairman of HIVE stated “We are pleased to report HIVE has maintained its strong Bitcoin hashing power through the month of February even as the network difficulty rose.  In February we produced an average of 8.7 BTC per day, and note that as of today, we are producing approximately 8.8 BTC a day.”

Aydin Kilic, President & COO of HIVE noted “We continue to strive for operational excellence, ensuring that as we scale our hashrate as a company we also optimize our uptime, to ensure ideal Bitcoin and Ethereum output figures.  Mr. Kilic continued,  “We also would like to provide an update on the BTC and ETH equivalency, where one can equate value of the coins produced daily.  As such the ETH that HIVE produced during the month of February, equated on a daily basis, is approximately equal to a monthly total of 132.6 BTC, which we refer to as Bitcoin equivalent or BTC equivalent.  This is in addition to the 244.4 BTC produced from our Bitcoin mining operations during February, for a total of 377.1 Bitcoin equivalent”

The Company’s total Bitcoin equivalent production in February 2022 was:

  • 377.1 BTC Equivalent Produced
  • 13.5 BTC Equivalent produced per day on average
  • 2.84 Exahash of BTC Equivalent Hashrate (BTC hashrate plus equivalent ETH Hashrate as of February 28)
Update on Network Mining Difficulty and Winter Energy Markets

The Bitcoin network difficulty increased as much as 5% and similarly the Ethereum network difficulty was stable during the month of February.  These factors impact our gross profit margins. 

For the second consecutive month, in February our production would have been slightly higher than actuals, if not for the continuing curtailment of energy during the month under our agreement with Quebec Hydro.  This seasonal curtailment continued to affect numerous crypto-mining companies operating in Quebec, along with HIVE. In addition, in New Brunswick we continued to experience, as expected, a temporary seasonal rise in energy prices.  

At-the-Market Offering

Pursuant to the ATM Equity Program, as required pursuant to National Instrument 44-102 – Shelf Distributions and the policies of the TSX Venture Exchange (“TSXV”), the Company announces that, during its third quarter ended December 30, 2021, it has issued an aggregate of 3,513,500 common shares (the “ATM Shares”) over the TSX-V, for aggregate gross proceeds to the Company of C$15,120,113.  The ATM Shares were sold at prevailing market prices, for an average price per ATM Share of C$4.30.  Pursuant to the Equity Distribution Agreement associated with the ATM Equity Program (the “EDA”), a cash commission of US$365,028 on the aggregate gross proceeds raised was paid to the agent in connection with its services under the EDA during the third quarter ended December 30, 2021.

Pursuant to the EDA, the Company may, from time to time, sell up to US$100 million of common shares in the capital of the Company.  The Company intends to use the net proceeds of the ATM Equity Program, if any, principally for general corporate and working capital requirements, funding ongoing operations, to repay indebtedness outstanding from time to time, to complete future acquisitions, or for other corporate purposes.

This news release does not constitute an offer to sell or the solicitation of an offer to buy securities in the United States or in any jurisdiction where the offer, sale or solicitation would be unlawful.  The Common Shares referred to in this news release may not be offered or sold in the United States absent registration or an applicable exemption from registration.

Conclusion of At-the-Market Offering

HIVE announces conclusion of its previously announced "at-the-market" equity offering program (the "ATM Program") with Canaccord Genuity Corp. as sole agent.  The termination of the ATM Program is effective as of March 8, 2022. The ATM Program was established on February 2, 2021, allowing the Company to issue and sell up to US$100 million aggregate amount of common shares of the Company to the public from time to time, at the Company's discretion. As of the date of this announcement, HIVE has sold 27,236,000 common shares under the ATM Program for aggregate gross proceeds of US$99,499,217.

Quick Summary

HIVE Blockchain Technologies Ltd. (NASDAQ:HIVE) is different compared to many miners because it mines both Bitcoin (BTC-USD) and Ethereum (ETH-USD), whereas most publicly traded miners only mine Bitcoin currently. The differentiation has created a different risk profile, which is even more complex due to the impending switch of Ethereum to proof-of-stake. Compared to the selected peer group, HIVE leads in many ways fiscally and has mixed results operationally.

 

Transition Away From Ethereum Proof-of-Work "POW"

The merge of the beacon chain and main net otherwise known as staking or proof of stake "POS" is currently slated to happen in June of this year, but if you've been following Ethereum, you will know this is by no means a certainty. Roughly a third of HIVE's revenue could be removed overnight once staking is implemented. HIVE has better fundamentals compared to competitors but would quickly deteriorate if a smooth transition away from Ether mining does not occur.

The Kiln testnet, which is the final testnet before the mainnet merge, has been spun up. The Kiln testnet in essence is a dress rehearsal for the mainnet merger. The Kiln testnet had a client bug on the Prysm client offering bad blocks, but the issue has already been found and corrected. Overall, the network was stable.

HIVE is significantly invested in Ethereum POW; once the mainnet merge occurs, HIVE's business will materially change. HIVE's current forecast stops increasing its Ethereum mining operation March 2022.

HIVE's Ethereum hash rate is currently 4.88 TH/s for the end of February, which is lower than the expected 5.4 TH/s stated in the FQ3 2021 investor's presentation. The lower-than-expected hash rate is slightly concerning because losing out on 2 weeks~ of mining time is notable for the potential ~3 months of Ethereum proof-of-work.

Of course, if POS is pushed out it would be a big win for HIVE. Management as of the Q3 earnings call believes POW will last, and POS won't occur. The issue is if POS occurs, management may be wrong-footed.

Estimating Financial Impact of the Merge

Let's assume for simplicity that HIVE's entire GPU mining structure is made of RTX 3080s, which can generously produce 100 MH/s. Using that assumption HIVE has 48,800 RTX 3080s. New RTX 3080s retail for $1,100 to $1,550 USD depending on model.

Due to supply constraints, GPUs are consistently going for higher prices than MSRP; even used sell for above MSRP. We'll be generous and assume they have paid $1,100, resulting in 53.7m paid. Then assuming they have depreciated 50% (derived from average accumulated depreciation), the carrying value is 26.5m. If HIVE decides to liquidate the GPUs at $550, the proposed carry value over switching to a GPU-centric data centre, the balance sheet would not take a severe write-down.

On the income statement, revenue will drop by roughly one-third if no replacement operations are done. If HIVE goes ahead with staking their held Ethereum mining will be partially offset.

 

HIVE mined 1,814 ETH in February, if able to mine at the same rate, would be 23,646 ETH a year or 63.8m USD at $2,700 per ETH.

HIVE currently holds 27,218 Ethereum or USD 73.5m. The current staking rate for self-validating on the beacon chain is 5.4% APY, which will most likely drop once staking is the only option. Let's be generous and assume HIVE can receive 5.4% APY, which would result in $4.0m in annual revenue. Right now the best of both worlds is happening because HIVE is still mining while being able to stake ETH on the beacon chain. Once POS occurs, mining revenue is gone and staking APY will drop.

The revenue HIVE would receive from staking is a fraction of what could be obtained from mining, so it is no surprise management is bullish on POW. The problem is the merge is not in the hands of management, and they cannot afford to bury their heads in the sand when it comes to no more Ethereum mining. Even showing a meme of co-founder Vitalik Buterin (Age 28) in the investor presentation.

By no means is Ethereum staking guaranteed to happen in Q2, but Executive Chairman Frank Holmes stating "that it [staking] is not going to happen", is short-sighted regardless of if you believe staking is good or not.

One of the arguments some people will use is they can just mine something else, but the problem is no other GPU mined coin has the same market size as Ethereum. Even at current prices, no other coin is consistently competitive with Ethereum in revenue/GPU. Additionally, many other miners will look to do the same which will lower the income more so.

The option which management has mentioned before is converting to 'High-Performance Data Centers' or HPC, which is branching out of cryptocurrencies. HIVE states the HPCs may be used for AI, rendering, or remote gaming. The idea has not been fleshed out, at least publicly. But competitor Hut 8 Mining (HUT) is deploying a similar plan, so by no means is it an unrealistic plan.

 

If HPC conversion is successful, the risk-reward structure of HIVE will change. HIVE will no longer be purely reliant on cryptocurrency which will lower the volatility of the company's finances. The trade-off is HPCs are generally lower margins but more predictable income than Ethereum mining.

If HIVE is unable to convert to an HPC, HIVE will most likely be scrambling to replace the GPUs which are worthless for Bitcoin mining with ASICs compatible with Bitcoin. One of the main operational goals of mining operations is to time electrical capacity with mining arrival, if scrambling to find miners to fill excess capacity an operational failure has occurred.

In summary, I hope management follows the idiom, "hope for the best, but prepare for the worst".

Intel ASICs

A common critic of Bitcoin miners is the reliance on Chinese manufacturing when functionally and ideologically Bitcoin was set out to be distributed.

Recently HIVE announced a supply agreement with US-based semiconductor manufacturer Intel (INTC) for their upcoming blockchain accelerators, and additionally a manufacturing agreement with an undisclosed original design manufacturer. Shipments should start in the second half of 2022, and continue for a year.

The Intel-based ASICs should provide roughly 1.8 Exahash/s, roughly 40K units. On the assumption of the ASICs arriving linearly, HIVE should achieve 3.9 Exahash/s by the end of 2022.

Diversifying the supply chain to include Intel is a great move. Lower reliance on Chinese-based manufacturers lowers geopolitical risk. The one thing investors should remember from the recent Russian invasion of Ukraine is geopolitical risks cannot be overlooked.

Compared to industry leader Bitmain, Intel's solutions hold no weight.

 

Bitcoin ASIC efficiency

Efficiency (J/TH) is extremely important to miners as electricity is the main variable cost. Intel falls behind Bitmain's current offering S19 XP, and the discrepancy only gets worse when the S19 Pro+ Hyd. gets released in May, followed by the S19 XP Hyd. being released Q1 2023.

 

The upside for HIVE may occur in pricing, Bitmain is known for its price elasticity as demand increases. If Intel can offer a significantly cheaper upfront cost, the ASICs may be beneficial.

The other benefit is HIVE creating a relationship with Intel, which may be beneficial if Intel's solutions are more competitive down the line.

In the same press release, a letter of intent for Compute North to host 100MW of mining capacity in Texas. If operating at capacity, the location would provide power for over 27K Intel BMZ1 or 1.11 Exahash/s, which is significantly lower than the ~1.8 Exahash/s. Since pre-ordered Intel exceeds the Compute North facility either more capacity will need to be purchased or more likely the use capacity currently under construction. As well in the HIVE press release, they expect 4.0 Exahash/s in the Compute North facility which means either an upgraded Intel miner or a different brand.

Not HODLing Ether

Cash flow management has been a point of differentiation among crypto miners. Some like Marathon Digital (MARA) have not sold any Bitcoin in over a year and elected for stock and debt issuance to fund operations. HIVE on the other hand has sold Ether and issued stock in the past year to fund operations.

However, HIVE announced the end of its at-the-market issuance on the TSX Venture Exchange, which sold 27,236,000 shares for USD 99.5m. The program had a cap of raising USD 100m, which was effectively met. The question is now will a similar equity program be initiated or will it rely on selling Ether.

HIVE is holding 2,374 Bitcoin and 27,218 Ether. In 2021, HIVE held all of its Bitcoin opting to sell Ether to fund operations. In 2021, HIVE sold $78.3m worth of Ether, signalling management is more bullish on Bitcoin over Ethereum, at least at the time of sale.

If HIVE were to cease sales of mined Ethereum, operating cash flow would be a loss of 25.7m, and HIVE would have the cash to cover current operations for 2.5 years. Meaning if HIVE wishes to 'Hodl' all crypto, cash would only be needed to be raised for CapEx for 2.5 years.

 

Bitcoin Equivalency

Miners like HIVE that mine multiple cryptocurrencies commonly use Bitcoin equivalency; this helps with comparison but problems also exist with this method.

Using Ethereum as an example, price movements are the first major variable.

As seen above, just converting Ethereum to Bitcoin based on price can dramatically change over time. If you were just converting holdings at a particular point in time, equivalency works fine. But if you are forecasting equivalency of mined Ethereum, the rate of exchange can dramatically change over time.

The next major risk relates to directly mining; network hash rate and block difficulty are extremely unpredictable.

Notice, over the three years, the Ethereum network hash rate has grown ~6x versus Bitcoin's ~3x. If you had grown both your hash rates by 3x, you would be receiving a similar rate of Bitcoin, while only receiving half of the Ethereum. The overall point is when a company like HIVE displays Bitcoin equivalent hash rates, it may be true at the publication time but rapidly changes.

Due to the issues of equivalency, we will compare operations both with and without equivalency.

Operations Comparison

Using a peer group of HIVE, Hut 8 Mining (HUT), Bitfarms, Marathon Digital, and Riot Blockchain (RIOT).

 

HUT runs Ethereum mining operations but receives Bitcoin as payment at the prevailing market price, while BITF, MARA, and RIOT solely mine Bitcoin.

First, we will look at taking a quick look at cryptocurrency holdings.

HIVE holds significantly less Bitcoin than the peer group, but if Ethereum is included, HIVE is middle of the group in terms of % of market cap. The reason why it is important to consider the market cap is that for every dollar you buy in the respective equities, you will receive x% direct exposure to cryptocurrencies; in HIVE's case, 23.11%. Another way of looking at it is x% of the company's value is based on past operations or investment.

Next, let's compare mining operations.

For comparison, it should be noted, HUT's forecast hash rate only extends to Q1 2022, whereas the others extend to the end of 2022, or into early 2023.

HIVE trails the pack in raw Bitcoin mining hash rate at 1.9 Exahash/s, while being middle of the pack for current Bitcoin Equivalent operations. If ignoring HUT's public forecast due to ending in Q1, HIVE is last in the pack for forecast hash rate as well.

HIVE looks better once the market cap is taken into consideration; the higher the number, the better. HIVE leads the pack in current operations when its Ethereum operations are included, but falls behind the pure Bitcoin miners in forecast values.

The key takeaway, HIVE's Ether operation allows it to have better current operations but falls behind in forecast values.

HIVE leads profitability metrics while having a strong balance sheet with minimal debt.

Highlighting revenue, HIVE despite being the second smallest market cap is the leader in revenue. The higher revenue is largely due to the increase in Ethereum price relative to Bitcoin. As well Ether mining is more profitable compared to Bitcoin mining per dollar of CapEx. Ultimately, HIVE benefited over the last year due to the exposure to Ethereum.

HIVE unlike MARA has taken on no significant debt, which leaves the possibility of acquiring debt without heightened risk if desired. A reason for issuing debt is if HIVE follows in HUT's footsteps of acquiring an HPC company.

The relatively low market cap and great profitability have led HIVE to be the leader in P/E.

HIVE Blockchain Provides March 2022 Production and Intel Update

This news release constitutes a "designated news release" for the purposes of the Company's prospectus supplement dated
February 2, 2021 to its amended and restated short form base shelf prospectus dated January 4, 2022.

 

Vancouver, Canada – HIVE Blockchain Technologies Ltd. (TSX.V:HIVE) (Nasdaq:HIVE) (FSE:HBF) (the “Company” or “HIVE”) is pleased to announce the production figures from the Company’s global Bitcoin and Ethereum mining operations for the month of March 2022, with a BTC HODL balance of 2,568 Bitcoin and 16,196 Ethereum as of April 3, 2022. In addition to this the Company is pleased to announce two milestone accomplishments of reaching 2 Exahash of Bitcoin mining and 6 Terahash of Ethereum mining this month.
 
March 2022 Production Figures

HIVE is pleased to announce its March 2022 production figures and mining capacity:

  • 278.6 BTC Produced
  • 2.0 Exahash of Bitcoin mining capacity 
  • 2,459 ETH Produced*
  • 4.58 Terahash of Ethereum mining capacity at beginning of March
  • Increased to 6.1 Terahash of Ethereum mining capacity at end of March
*The Company’s production of ETH from GPU mining (including selective optimizations of GPU hashrate) has yielded a total ETH production of 2,549 ETH.
Frank Holmes, Executive Chairman of HIVE stated “We are very pleased to report HIVE has continued its extremely strong momentum in expanding our hashing power, notably our Ethereum mining hash power grew by 33% this month. In March we produced an average of 9.0 BTC per day, and we are pleased to note that as of today, we are producing approximately 9.0 BTC a day even after the recent difficulty increase of 4%. Our Bitcoin hashing power increased in March and at the calendar month-end our hashrate was 2.0 Exahash, which translated into a 6% increase in BTC mining on a month over month basis, while BTC prices corrected.”
 
Aydin Kilic, President & COO of HIVE noted “We continue to strive for operational excellence, ensuring that as we scale our hashrate as a company we also optimize our uptime, to ensure ideal Bitcoin and Ethereum output figures.” Mr. Kilic continued, “We also would like to provide an update on the BTC and ETH equivalency, where one can equate value of the coins produced daily. As such the ETH that HIVE produced during the month of March, equated daily, is approximately equal to a monthly total of 168.8 BTC, which we refer to as Bitcoin equivalent or BTC equivalent. This is in addition to the 278.6 BTC produced from our Bitcoin mining operations during March, for a total of 447.4 Bitcoin equivalent”

The Company’s total Bitcoin equivalent production in March 2022 was:

1 Year Ahead Hashrate Growth Outlook

HIVE is pleased to update the market on the Company’s growth plans for the year ahead, as a result of strategic initiatives to secure ASIC and GPU hardware.  The graph below presents the hashrate for all contracted ASIC and GPU hardware (with deposits in place), with the dark blue bars representing BTC hashrate, and the light blue bars representing the additional BTC equivalent hashrate from the ETH GPU hashrate.  The numbers at the top are the combined total BTC equivalent hashrate expressed in Exahash. The Company will be at 6.2 Exahash of BTC equivalent hashrate in one year, up from 3.3 Exahash of BTC equivalent hashrate today.

Ethereum HODL to Fund Intel New Chips to Mine BTC

Over the past year our Ethereum HODL position outperformed our Bitcoin HODL.  ETH is much more volatile than BTC and once again we have used the volatility to generate capital to expand our operations.  We have sold down our ETH holdings to fund our Intel strategic relationship and the building of our rigs.  We are very thrilled about the Intel deal for several reasons and due to the greater volatility of ETH we have traded out approximately 10,000 ETH coins to fund the expansion in our BTC channel.  Further we have expanded our daily ETH production to replace coins we have sold.  Our long-term strategy is grow our BTC footprint while using our ETH to help with this ambition.  Our ETH production is allowing us to generate the highest margins from proof of work in the business. We are not concerned about the 6 year narrative that ETH will become only proof of stake in the immediate future, as evidenced by the robust and secure proof of work consensus mechanism has helped ETH process more transactions in USD volume at $11.4 trillion US, where Visa has done $10.4 trillion US in 2021.  Our strategy to mine both BTC and ETH has allowed HIVE to generate some of the highest returns on invested capital for our shareholders while expanding our revenue and coin production. 
 
Intel Update

Recently Intel has published more specifics on introduction of the Intel Blockscale ASIC, a game changing event for BTC miners.  Intel has only made this chip available to select customers, of which Hive Blockchain is one of four customers globally.  The Intel Blockscale will advance energy efficient hashing for proof of work consensus using green energy.  Further their US designed high performing chips are up to 26 J/TH power efficiency at a very competitive and attractive price that fits into our strategy to generate high returns on invested capital for our shareholders.  Hive Blockchain shares in the sustainability goals that are important to both Intel and ESG focused investors.
 
Network Mining Difficulty

The Bitcoin network difficulty increased as much as 4% and similarly the Ethereum network difficulty increased as much as 2% during the month of March.  These factors impact our gross profit margins.

The Company’s total Bitcoin equivalent production in April 2022 was:

  • 458.3 BTC Equivalent Produced
  • 15.3 BTC Equivalent produced per day on average
  • 3.4 Exahash of BTC Equivalent Hashrate (BTC hashrate plus equivalent ETH Hashrate as of April 30)

Successful Green Energy Scaling Through Supply Disruptions

HIVE is pleased to provide a market update on the Company’s growth plans for the year ahead. The Company will be at 6.2 Exahash BTC equivalent hashrate in one year, based on contracted monthly deliveries of ASIC and GPU hardware (with deposits in place), up from 3.4 Exahash of BTC equivalent hashrate today.

The Company has been consistently receiving ASIC and GPU deliveries monthly and is hopeful this to continue on schedule.  However the supply chain challenges that have faced the world for the past 2 years has not ended, with lockdowns continuing to take place in China which is a source of a great deal of the world’s manufacturing. HIVE has carefully endeavoured to balance sustainable growth of its data center infrastructure to optimize the incoming ASIC and GPU hardware orders, so that we have maximum operating hashrate, and the best efficiency in Bitcoin per Exahash amongst industry peers.

The crypto mining industry in general appears to find itself at a crossroads with a supply of very expensive ASIC chips and no few places to plug them in.  Moreover, new market entrants racing to secure a position in the Bitcoin mining ecosystem contend with a current payback of buying ASIC chips at current retail prices from Chinese manufacturers with close to a 2-year ROI.  Only a year ago, the experience was one where it was only a 6 to 9 month payback on capital.  This is a result of the disproportionately high $ per Terahash ($/TH) retail prices from Chinese manufacturers, relative to current hashrate economics.  Securing hardware at an attractive $/TH price, is key to generating a strong return on invested capital (ROIC).  Whereas HIVE’s deal with Intel is much more attractive in ROIC, which the Company has studied in comparison to market offers from other Bitcoin ASIC miner suppliers.
 
HIVE is resolute in cautiously and strategically building our BTC production to generate the highest ROIC for our shareholders.  Over the past year our production of BTC has grown substantially and we are now at 1% of the global network while our profitable ETH production has increased over the past 4 months.  The current daily revenue generated from coin production is approximately US$600,000 per day.
 
As it pertains to rapidly scaling, HIVE has endeavoured to first find sources of renewable green energy before buying large allocations of GPUs or ASIC miners in an effort to maximize our efficiencies and generate robust returns on invested capital.  In our market intelligence, the Company has noticed significant supply disruptions for electrical equipment needed to make data centers, such as transformers and switch gear.  Striving to scale large production has run into many roadblocks due to these supply line issues.  Our research from China with over 30 cities locked down has created an epic traffic jam of empty ships waiting to pick up manufactured products in ports along the China coast.  This is impacting their whole manufacturing sector, as well as other industries which rely on these suppliers.  We are closely monitoring the trade off between risks of not receiving needed electrical and hardware for building data centers and Bitcoin mining machines.  Our treasury of Bitcoin and Ethereum mined with green energy is currently valued at approximately US$150 million.
 
Network Mining Difficulty
 
The Bitcoin network difficulty increased as much as 5.5% and similarly the Ethereum network difficulty increased as much as 5% during the month of April.  These factors impact our gross profit margins.

HIVE Blockchain Announces Proposed 5 to 1 Share Consolidation
 
This news release constitutes a "designated news release" for the purposes of the Company's prospectus supplement dated February 2, 2021 to its amended and restated short form base shelf prospectus dated January 4, 2022.
 
Vancouver, Canada – HIVE Blockchain Technologies Ltd. (TSX.V:HIVE) (Nasdaq:HIVE) (FSE:HBF) (the “Company” or “HIVE”) announces that it intends to complete a consolidation (the “Consolidation”) of its common shares (“Common Shares”) on the basis of five (5) pre-Consolidation Common Shares for one (1) post-Consolidation Common Shares.  As of the date hereof, there are 411,209,923 Common Shares issued and outstanding.  On a post-Consolidation basis, the Company shall have approximately 82,241,984 Common Shares issued and outstanding.  It is expected that the Common Shares reflecting the Consolidation will commence trading on the TSX Venture Exchange and the Nasdaq on or around May 20, 2022.  The Company will not be changing its name in connection with the Consolidation.  Completion of the Consolidation is subject to the receipt of all necessary regulatory approvals including the approval of the TSX Venture Exchange.  Pursuant to the Business Corporations Act (British Columbia) and the articles of the Company, shareholder approval of Consolidation is not required.

Frank Holmes, Executive Chairman of HIVE stated, “In speaking to shareholders at the numerous conferences I have attended in the past 60 days, it is apparent that some shareholders are finding it challenging to compare HIVE to its industry peers as we have many more shares outstanding.”  Mr. Holmes continued, “Even though HIVE has a higher market capitalization than many of our peers, and stronger fundamentals as measured by Price/Earnings ratios, revenue per employee and debt to equity ratios, the increased share price creates more institutional visibility because many of their fundamental screens exclude stocks under $5 a share.  Hive has very attractive fundamentals when compared to other tech stocks and trading at a higher share price can make it much more appealing.

Many institutional investors, mutual funds in particular, have policies against taking positions in a stock priced under a minimum share price, regardless of the market capitalization.  HIVE’s share price will increase; however, its market capitalization is not expected to change, outside of the effect of market forces. We believe the profile of HIVE could expand because of this stock consolidation as those minimum share prices will no longer be a barrier to investment.  After the bear market in 2009 many stocks with great fundamentals like Citi Group rolled back their stocks to be more attractive to a broader audience of investors.”

Darcy Daubaras, CFO of HIVE said, “We believe that an increased share price arising from the share consolidation, on the TSX-V and especially the Nasdaq, will enable us to attract a broader range of shareholders, gain increased liquidity and deliver long-term value to investors.  After the share consolidation has taken effect, we will have a more comparable number of shares to our peers, and hope to expand our institutional reach.”  Mr. Daubaras continued, “The purpose here is to add shareholder value.  HIVE continues to be one of the most profitable crypto mining companies in the industry, and we are laser-focused on sustainably expanding and optimizing our mining operations.”
