Berkeley Energia Limited (“Berkeley” or the Company") advises that Mr Deepankar Panigrahi has resigned as a non-executive director of the Company, effective immediately.

The Board would like to take this opportunity to thank Mr Panigrahi for his contribution to the Company.

Mr Panigrahi became a director of the Company in November 2017 as the nominee director of the Oman Investment Fund (“OIA”) (formerly the State General Reserve Fund of Oman) pursuant to the investment agreement following the issue of the convertible note to OIA. He was appointed as OIA’s nominee director to oversee OIA’s interests in the Company and the development of the Salamanca project. Mr Panigrahi was due for re-election at the Company’s upcoming Annual General Meeting to be held on Wednesday, 17 November 2021, however this resolution will no longer be put to shareholders.

Berkeley, suspendida de cotización: se desploma en Londres

La Comisión Nacional del Mercado de Valores (CNMV) suspende la cotización de Berkeley en la bolsa española tras haber sido parada también en Australia. El regulador patrio explica la suspensión mientras es difundida una información relevante sobre la citada entidad. En Londres, que es donde solo cotiza ahora mismo, se desploma en torno a un 33%.

¡Atención! Berkeley vuelve hoy a cotizar

 

La Comisión Nacional del Mercado de Valores (CNMV) ha decidido levantar este miércoles la suspensión de la negociación de las acciones u otros valores que den derecho a su suscripción de Berkeley Energía. La CNMV explica en su notificación que dispone de "información suficiente de las circunstancias que aconsejaron la adopción del acuerdo de suspensión". La compañía fue suspendida ayer en la bolsa española, al igual que en la australiana, por su 'cruzada' con el fondo soberano de Omán. Hoy también ha vuelto a cotizar en el mercado australiano

Berkeley Energia Limited (Berkeley or Company) advises that it has issued 186,814,815 fully paid ordinary shares at £0.27 each in the capital of the Company to Singapore Mining Acquisition Co Pte Ltd (SGRF) (a subsidiary of the Oman Investment Authority (OIA), formerly the State General Reserve Fund of Oman) following the automatic conversion of the unsecured and interest free convertible note with a principal amount of US$65 million (Convertible Note).

The Convertible Note has been converted in accordance with the terms of the Investment Agreement and Convertible Note entered in with SGRF in 2017.

In relation to the writ for proceedings in the Supreme Court of Victoria at the Melbourne Commercial Court brought against the Company by SGRF (the Claim), the Company will strongly defend the Claim which in the Directors’ view has no merit.

Application will be made to the London and Spanish Stock Exchanges for the new ordinary shares, which rank pari passu with the Company's existing issued ordinary shares, to be admitted to trading on the LSE (as depository interests) and to the Spanish Stock Exchanges. Dealings are expected to commence in due course (Admission).

The Company’s issued ordinary share capital following Admission will be 445,796,715 ordinary shares.

The above figure of 445,796,715 ordinary shares may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company, under the FCA's Disclosure and Transparency Rules and the CNMVs Listing rules.

Settlement of OIA Claim

  • Claim previously brought against the Company by OIA has been settled and agreed to be discontinued

  • Settlement follows the 100% sell down of shares issued to OIA via a fixed-price bookbuild executed as a Special Crossing on ASX

  • Special Crossing completed to clients of Argonaut Securities that include several specialist natural resources funds and a broad array of high-quality investors, based in Australia and overseas

  • The Company continues to strongly defend its position in relation to the adverse decision regarding the NSC II permit at the Salamanca Project

    Berkeley Energia Limited (Berkeleyor Company) is pleased to announce that the claims brought against the Company by Singapore Mining Acquisition Co Pte Ltd (a subsidiary of the Oman Investment Authority (“OIA”), formerly the State General Reserve Fund of Oman) in relation to the investment agreement and convertible note (“Claim”) have now been settled with the parties agreeing to discontinue legal proceedings in the Supreme Court of Western Australia.

    The settlement of the Claim has been achieved following the sale of 186,814,815 fully paid ordinary shares issued to OIA in November 2021, via a fixed-price bookbuild at a price of A$0.35 per share executed as a Special Crossing on ASX to clients of Argonaut Securities, with the proceeds to be received by OIA who engaged Argonaut Securities to conduct the sell down. To support the sell down, Mr Ian Middlemas, Chairman, has also participated in the bookbuild and purchased 2.8 million shares in the Special Crossing, on the same arm's length terms as other investors participating in the sell down bookbuild.

    Salamanca Project

    The Salamanca Project is being developed in an historic uranium mining area in Western Spain about three hours west of Madrid.

    In July 2016 Berkeley published the results of a Definitive-Feasibility Study confirming that the Salamanca project will be one of the world’s lowest cost producers, capable of generating strong after- tax cash flows.

    With the uncertainty and sanctions as part of the Russian-Ukraine conflict, this has seen electricity prices in Spain increase by more than 10x compared to a year ago, with similar price hikes seen across Europe, causing mass social and economic unrest.

    There are news articles in the Spanish and European press referring to nuclear power being assessed as a viable alternative to decrease Europe’s dependence on Russian energy. This has already seen the French government order its state energy company, EDF, to establish new reactors as part of its plan to strengthen France’s energy security and to sell more nuclear power into the European energy market, and other European governments commence reviews of their existing energy policies.

The Company will continue to strongly defend its position in relation to the adverse resolution by Ministry for Ecological Transition and the Demographic Challenge (“MITECO”) that rejected the Authorisation for Construction for the uranium concentrate plant as a radioactive facility (“NSC II”) at the Company’s Salamanca project late in 2021.

In Berkeley’s strong opinion, MITECO has rejected the Company’s NSC II application without following a legally established procedure and the Company believes that MITECO has infringed regulations on administrative procedures in Spain, as well as Berkeley’s right of defence, which would imply that the decision on the rejection of the Company’s NSC II application is not legal.

NSC II is the only key approval required to commence full construction of the Salamanca mine. The Company will continue to update the market on any material developments.

Berkeley Strengthens Board with Spanish Based Director Berkeley Energia Limited (“Berkeley” or “Company”) is pleased to announce the appointment of Mr Francisco Bellón as an Executive Director of the Company effective 1 July 2022. Mr Bellón is a Mining Engineer with more than 25 years of experience in the resources sector, including specialisation in mineral processing. During his career, Mr Bellón has participated in the construction, commissioning and operation of four mines in Spain, two in South America and two in West Africa, working at an executive level for Toronto, New York or Madrid Stock Exchange listed companies, such as Rio Narcea Gold Mines, Lundin Mining, ENDESA and Duro Felguera. Mr Bellón who is based in Salamanca, joined Berkeley in 2011 as General Manager of Operations, and was subsequently promoted to Chief Operating Officer in 2017. During this period, Mr Bellón has been responsible for the Company’s day-to-day operations in Spain, and has overseen the development of the Salamanca Project from the Scoping Study stage through to the completion of the Definitive Feasibility Study and Front End Engineering Design. He has also been a Director of the Company’s Spanish subsidiaries since 2011. Mr Bellón has a Masters Degrees in Mining Engineering and Occupational Health and Safety, Investor Relations Certification from the Madrid Stock Exchange, and is Member of the Australasian Institute of Mining and Metallurgy (“AusIMM”). The appointment of Mr Bellón will substantially strengthen the Board’s technical capacity and Spanish operating experience as the Company continues to focus on resolving the current permitting situation, and ultimately advancing the Salamanca project towards production.
